FORMA ORGANIZZATIVA E ASSICURAZIONE DELLE TUTELE NELL’IMPRESA FAMILIARE

The contribution, through the examination of the main reconstructive and qualifying features of the institution of the family business, ad-dresses the controversial issue of the applicability of the related disci-pline in cases of conventional bringing the work performance of the family member back into a different legal relationship, as well as for carrying out business activities in corporate form. The obvious protec-tive purposes and the mandatory character of art. 230 bis of the Italian Civil Code lead us to consider the discipline of the family business to be invocable whenever it is ascertained that the use of different nego-tiating schemes or the interposition of a corporate barrier only translate an elusive will of the business operator, aimed at attribute to the rela-tive a lower treatment than the one provided by law.

Il contributo, attraverso la disamina dei principali tratti ricostruttivi e qualificatori dell’istituto dell’impresa familiare, affronta il controverso tema dell’applicabilità della relativa disciplina nei casi di convenzionale riconduzione della prestazione lavorativa del familiare nell’alveo di un diverso rapporto giuridico, nonché di svolgimento dell’attività imprendi-toriale in forma societaria. Le evidenti finalità protettive e il rilevato ca-rattere inderogabile dell’art. 230 bis c.c. inducono a ritenere invocabile la disciplina dell’impresa familiare ogni qualvolta si accerti che il ricor-so a differenti schemi negoziali o l’interposizione di un diaframma so-cietario traducano soltanto una volontà elusiva dell’esercente l’attività d’impresa, finalizzata ad attribuire al congiunto un trattamento deteriore rispetto a quello disposto ex lege.
