The work starts from the meaning and the function of “merit” in the context of insolvency law. The aim is to outline a rule for the use of such fee in the various hypotheses in which the release from debts follows to a procedure to settle the crisis, the insolvency or the over-indebtedness. Today this concept, identifying a main rule, is a prerequisite for the actions of entrepreneur, debtor and, more generally, all “subject” involved in debt situations. The “merit” (worthy) and the discharge are the two parallel tracks on which the analysis proceeds. The A., through the prism of this binomial, identi- fies a unitary rule that allows the identification of debt worthy of revaluation or other forms of protec- tion or, even of release. The merit, from a rule aimed exclusively at avoiding misuse of bankruptcy procedures, becomes a tool for governing credit channels and markets fairness: it allows an efficient use of the legal remedies for the worthy indebtedness settlement.
Il lavoro prende le mosse dall’esigenza di identificare significato e funzione uniformi alle condizioni prescritte per l’esdebitazione. Il fine è quello di delineare un criterio unitario per l’utilizzo di siffatto istituto. Nel concetto di “meritevolezza” è ravvisabile un elemento di valutazione comune alle variegate ipotesi in cui la liberazione dai debiti consegue ad una procedura per comporre la crisi, l’insolvenza o il sovraindebitamento. Tale clausola identificativa di una precipua regola del diritto con- corsuale, assurge oggi a presupposto per l’agire dell’imprenditore, del debitore e, più in generale, di tutte le “parti” coinvolte a vario titolo in situazioni d’indebitamento. La “meritevolezza” e l’esdebi- tazione sono i due binari paralleli sui quali procede l’analisi. L’A., attraverso il prisma di questo bino- mio, individua un criterio unitario che consente di individuare l’indebitamento meritevole di “rivaloriz- zazione” o di altre forme di tutela o, ancora di “emancipazione” e affrancazione. La meritevolezza da “dispositivo” finalizzato a scongiurare un utilizzo improprio delle procedure concorsuali diviene stru- mento per salvaguardare l’efficienza della garanzia patrimoniale le cui esternalità assicurano la “cor- rettezza” dei mercati e consentono il governo dei canali di credito; in quanto tale consente poi un pro- ficuo utilizzo dei rimedi pensati per la composizione dell’indebitamento “incolpevole”.
