The paper aims to analyse the relationship between university incubator and academic entrepreneurship. Our research question is focused on effective governance system of start-ups through which a not-profit incubator allocates internal and external critical knowledge resources and exercises control over strategic decisions, by shaping specialized knowledge, innovations and inter-organizational relationships. The study of the relationship between university spin-offs and corporate governance raises unresolved issues to monitoring and controlling organizational outcomes
